The estoppel letter: the small document that holds up Florida closings

A condo or HOA sale cannot close without it, the association controls the clock, and Florida law puts limits on what they can charge and how long they can take.

When a unit in a Florida condominium or homeowners association changes hands, the closing agent has to know exactly what the seller owes: regular assessments, special assessments, fines, transfer fees, and anything else the association claims. That statement is the estoppel certificate, and it is binding on the association for the period it covers. Two features of Florida law matter here. The association has a statutory deadline to deliver it, and the fee it can charge is capped, with a higher cap when the request is a rush and an additional amount when the account is delinquent. If the association misses the deadline, it loses the right to charge for the certificate at all. The practical problem is not the law, it is the calendar. Many associations use a management company, the management company uses a third-party portal, and the request sits in a queue. A contract with a tight closing date that does not account for this is a contract that gets extended. The other trap is the expiration. An estoppel certificate is good for a set number of days. If the closing slips past it, it has to be re-ordered and paid for again — and if a new special assessment was levied in between, the number changes. Order it early.
